　　第一条定义

　　Whereas Licensor has the right and agreed to grant Licensee the rights to use, manufacture and sell the Contract Products of the Patented Technology of ;

　　Whereas Licensee hopes to use the Patented Technology of Licensor to manufacture and sell the Contract Products;

　　Both parties's authorized representatives, through friendly negotiation, have agreed to enter into this Contract under the terms as stipulated below?

　　Section 1Definitions

　　1?1“Patented Technology” means the technology which has been written in Appendix 1 to the Contract, it was approved by China Patent Office on(date) and granted the patent right? The patent number is .

　　1?2“Licensor” means Company, City, Country, or the legal representative, or agent or the property successor of the Company?

　　1?3“接受方”是指中国公司，或者该公司的法人代表、代理和财产继承者。

　　1?4“合同产品”是指合同附件二中所列的产品。

　　1?5“合同工厂”是指生产合同产品的工厂，该工厂在省市，名叫工厂。

　　1?6“净销售价”是指合同产品的销售发票价格扣除包装费、运输费、保险费、佣金、商业折扣、税费、外购件等费用后的余额。

　　1?7“专利资料”是指本合同附件一中所列的有关资料。

　　1?8“合同生效日”是指本合同双方有关当局的最后一方的批准日期。

　　第二条合同范围

　　2?1接受方同意从许可方取得，许可方同意向接受方授予合同产品的设计、制造和销售的权利。合同产品的名称、型号、规格和技术参数详见合同附件二。

　　2?2许可方授予接受方在中国设计制造合同产品，使用、销售和出口合同产品的许可权，这种权利是非独占性的，是不可转让的权利。

　　2?3许可方负责向接受方提供合同产品的专利资料，包括专利的名称、内容、申请情况和专利编号等，具体的资料详见本合同附件一。

　　2?4在合同的执行中，如果接受方需要许可方提供技术服务或一部分生产所需的零部件或原材料时，许可方有义务以最优惠的价格向接受方提供，届时双方另行协商签订合同。

　　1?3“Licensee” means China Corporation, or the legal representative, or agent or the property successor of the Corporation?

　　1?4“The Contract Products” mean the products stipulated in Appendix 2 to the Contract?

　　1?5“The Contract Factory” means the factory which manufactures the Contract Products, it is located in City, Province and named as .

　　1?6“Net Selling Price” means the remaining sam which the selling Commercial invoice price deducts the packing expenses, transportation expenses, insurance premium, commissions, commercial discounts, taxes and expenses for out?bought elements and parts etc?

　　1?7“The Patent Documents” means all related documents covered in Appendix 1 to the Contract?

　　1?8“The Date of Coming into Force of the Contract” means the date of ratification of the Contract by the competent authorities of both parties, whichever comes later?

　　Section 2Scope of the Contract

　　2?1Licensee agrees to obtain from Licensor, and Licensor agrees to grant Licensee the right to design, manufacture and sell the Contract Products? The name, model, specification and technical indices of the Contract Products are detailed in Appendix 2 to the Contract?

　　2?2Licensor agrees to grant Licensee the licence and right to design, manufacture, use, sell and export the Contract Products in China? The licence and right are non?exclusive and untransferable?

　　2?3Licensor is responsible for providing Licensee with the Patented Documents of the Contract Products, including the name, content, application for patent and number of the patent, etc?. The specific documentation is detailed in Appendix 1 to the Contract?

　　2?4In the course of implementation of the Contract, Licensor is under an obligation, upon the request of Licensee, to provide Licensee at the best favourable price with the technical services or some components, spare parts and raw materials which are necessary for manufacturing the Contract Products? When the time comes, both parties will sign the new contract through friendly consultation?

　　2?5许可方同意接受方使用其商标的权利，在合同产品上可以采用双方的联合商标，或者标明“根据许可方的许可制造”的字样。

　　第三条合同价格

　　3?1按照第二条规定的内容和范围，本合同采用提成方式计算价格，计价的货币为美元。

　　3?2本合同提成费的计算时间从合同生效之日后的第个月开始，按日历年度计算，每年的12月31日为提成费的结算日。

　　3?3提成费按当年度合同产品销售后的净销售价格计算，提成率为%，合同产品未销售出去的不应计算提成费。

　　3?4在提成费结算日后10天之内接受方应以书面通知的形式向许可方提交上一年度合同产品的销售数量、净销售额和应支付的提成费，净销售额和提成费的具体计算方法详见本合同附件三。

　　3?5许可方如需查核接受方的账目时，应在接到接受方根据第3?4条规定开出的书面通知后10天之内通知接受方，具体的查账内容和程序详见本合同附件四。

　　第四条支付条件

　　4?1 本合同第三条中规定的提成费，接受方将通知银行(此处为接受方的业务银行)和银行(此处为许可方的业务银行)支付给许可方，支付中使用的货币为美元。 2?5Licensor agrees to grant Licensee the Licence and right to use the trade mark of Licensor, while the combined trade mark of both parties or marking with the wording “production according to Licensor's licence” on the Contract Products can also be adopted?

　　Section 3Price of the Contract

　　3?1Price of the contract shall be calculated on Royalty in accordance with the content and scope stipulated in Section 2 to the contract and the currency shall be in US Dollars?

　　3?2Royalty under the contract shall be paid from the month after the date of coming into force of the Contract in terms of Calendar Year? The date of settling accounts shall be December 31 of each year?

　　3?3Royalty at the rate of % (say percent) shall be calculated in terms of net selling price after the Contract Products are sold in the year, the Contract products which have not been sold shall not count?

　　3?4The report of the selling quantity, net selling amount of the Contract Products and Royalty which should be paid for the past year shall be submitted to Licensor in written form by Licensee within 10 (ten) days after the date of settling accounts to Royalty? The specific methods for calculating net selling amount and Royalty are detailed in Appendix 3 to the Contract?

　　3?5If Licensor demands to audit the accounts of Licensee, it shall notice Licensee within 10 (ten) days after receiving the written notice from Licensee in accordance with Section 3?4 of the Contract? The specific content and procedure of auditing accounts are detailed in Appendix 4 to the Contract?

　　Section 4Conditions of Payment

　　4?1Royalty stipulated in Section 3 to the Contract shall be effected by Licensee to Licensor through the Bank (here it is the business Bank of Licensee) and the Bank (here it is the business Bank of Licensor)? The Payment shall be settled in US Dollars?

　　4?2许可方在收到接受方按第3?4条的规定发出的书面通知后应立即开具有关的单据，接受方在收到许可方出具的下列单据后30天内，经审核无误，即支付提成费给许可方：

　　A?提成费计算单一式四份;

　　B?商业发票一式四份;

　　C?即期汇票一式两份。

　　4?3按本合同规定，如许可方需要向接受方支付罚款或赔偿时，接受方有权从上述支付中直接扣除。

　　第五条资料的交付和改进

　　5?1许可方应按本合同附件二的规定向接受方提供专利资料的名称、内容，以及许可方向中国专利局申请专利的有关情况。

　　5?2许可方应在签订合同的同时，将第5?1条中规定的专利资料交付给接受方。(注：由于专利资料都是现成的，因此要求许可方在签约时提交。)

　　5?3在合同有效期内，双方对合同产品涉及的技术如有改进和发展，应相互免费将改进和发展的技术资料提供给对方使用。

　　5?4改进和发展的技术，其所有权属于改进和发展一方，另一方不得利用这些技术资料去申请专利或转让给第三方。

　　4?2Licensor shall immediately issue the related documents after receiving the written notice submitted by Licensee in accordance with Section 3?4 of the Contract? The royalty shall be paid by Licensee to Licensor within 30 (thirty) days after Licensee has received the following documents which are provided by Licensor and found them in conformity with the stipulations of the Contract:

　　A?Four copies of the statement on calculation of the royalty;

　　B?Four copies of the commercial invoice;

　　C?Two copies of the sight draft?

　　4?3Licensee shall have the right to deduct from any of the above mentioned payment the penalties and/or compensations which Licensor shall pay to Licensee in accordance with the stipulations of the Contract?

　　Section 5Delivery and Improvement of the

　　Technical Documentation5?1The Patent name, content and related situation under which Licensor applied for the patent from China Patent Office shall be provided by Licensor to Licensee in accordance with stipulations in Appendix 2 to the Contract?

　　5?2The Patent Documents stipulated in Section 5?1 of the Contract shall be provided by Licensor to Licensee upon the signing of the Contract (note: Because the Patent Documents are ready?made, Licensor shall provide them to Licensee when signing the Contract)?

　　5?3Within the validity period of the Contract, both parties shall provide each other with the improvement and development of the Technology related to the Contract Products free of charge?

　　5?4The improved and developed technology shall be owned by the party who makes the improvement and development to the technology? The other party shall be prohibited from applying for the patent, or transfering to the third party?

　　第六条侵权和保证

　　6?1许可方保证是本合同一切专利技术和专利资料的合法持有者，并且有权向接受方转让，如果在合同执行过程中一旦发生第三方指控侵权时，则由许可方负责与第三方交涉，并承担由此引起的一切法律和经济上的责任。

　　6?2许可方保证本合同中涉及的专利在合同执行期间是有效的和合法的。如果由于许可方的原因导致专利提前失效时，许可方应将专利失效后接受方支付的费用偿还给接受方，并按%的年利率加计利息，与本金一起偿付给接受方。

　　6?3在合同有效期内，许可方应根据中国专利局的有关规定按时缴纳专利费用，以维持专利的有效性。

　　6?4在合同有效期内，如果本合同涉及的专利的法律性质发生了变化，许可方应立即将此情况以书面形式告之接受方，然后双方再协商本合同的执行问题。

　　第七条税费

　　7?1中华人民共和国政府根据其现行税法征收接受方有关执行本合同的一切税费由接受方负担。Section 6Infringements and Guarantees

　　6?1Licensor guarantees that Licensor is the legitimate owner of all the Patented Technology and Documentation supplied by Licensor to Licensee in accordance with the Contract, and that Licensor is lawful in a position to transfer all such Technology and Technical Documentation to Licensee? In the course of implementation of the Contract, if any third party accuses Licensee of infringement, Licensor shall be responsible for approaching the third party about the accusation and bear all the economic and legal responsibilities which may arise?

　　6?2Licensor guarantees that the Patent covered in the Contract shall be lawful and valid in the course of implementation of the Contract? If due to reasons of Licensor the Patent ceases to be valid ahead of time, Licensor shall repay expenses which have been paid by Licensee after the Patent has ceased to be valid, plus the interest at the rate of % (say percent) per annum?

　　6?3Within the validity period of the Contract, Licensor shall pay the cost of maintaining the Patent on time in accordance with related stipulation of the China Patent Office so as to maintain the Patent effectiveness?

　　6?4In the course of implementation of the Contract, if the legal nature of the Patent concerned in the Contract has changed, Licensor shall immediately notify Licensee such case in written form, then both parties shall solve the problem, and decide the further execution of the Contract through friendly consultation?

　　Section 7Taxes and Duties

　　7?1All the taxes and duties in connection with and in the execution of the Contract to be levied on Licensee by the Government of the People's Republic of China in accordance with the Chinese Tax Laws in effect shall be paid by Licensee?

　　7?2中华人民共和国政府根据其现行税法征收许可方与执行本合同有关的一切税费由许可方负担。

　　第八条不可抗力

　　8?1合同双方中的任何一方，由于战争或严重的水灾、火灾、台风和地震等自然灾害，以及双方同意的可作为不可抗力的其他事故而影响合同执行时，则延长履行合同的期限，延长的期限应相当于事故所影响的时间。

　　8?2受不可抗力影响的一方应尽快将发生不可抗力事故的情况以电传或电报通知对方，并于14天内以航空挂号信件将有关当局出具的证明文件提交给另一方进行确认。在中国，出具证明的机构为中国国际贸易促进委员会。

　　8?3如果不可抗力事故的影响延续到120天以上时，合同双方应通过友好协商解决合同的执行问题。

　　第九条争议的解决

　　9?1因执行本合同所发生的或与本合同有关的一切争议，双方应通过友好协商解决。

　　9?2如双方通过协商不能达成协议时，则应提交中国国际经济贸易仲裁委员会，按照申请仲裁时该会现行有效的仲裁规则进行仲裁。仲裁裁决是终局的，对双方均有约束力。7?2All the taxes and duties in connection with and in the execution of the Contract to be levied on Licensor by the Government of the People's Republic of China in accordance with the Chinese Tax Laws in effect shall be paid by Licensor?

　　Section 8Force Majeure

　　8?1If either of the contracting parties is prevented from execution the Contract by such cases of force majeure as war, serious flood, fire, typhoon and earthquake or other cases which are agreed upon by both parties as cases of force majeure, the time for performance of the Contract shall be extended by a period equivalent to the effect of such cases?

　　8?2The affected party shall notify the other party of the cases of force majeure occurred by telex or cable as soon as possible and shall send by registered airmail, within 14 (fourteen) days thereafter, a certificate issued by the authorities or departments concerned to the other party for confirmation?In China, the competent authority for issuing the certificate is China Chamber of International Commerce?

　　8?3 Should the effect of the force majeure cases last for more than 120 (one hundred and twenty) days, both parties shall settle the problem of further execution of the Contract through friendly consultations as soon as possible?Section 9Dispute Settlements

　　9?1All disputes in connection with or in the execution of the Contract shall be settled through friendly consultation by both parties?

　　9?2In case no settlement to disputes can be reached through friendly consultation by both parties, the disputes shall be submitted to China International Economic and Trade Arbitration Commission for arbitration which shall be conducted in accordance with the Commission's arbitration rules in effect at the time of applying for arbitration? The arbitral award is final and binding upon both parties?

　　第十条合同生效和其他

　　10?1本合同由双方授权代表于年月日在签字。

　　各方应分别向其有关当局申请批准，以最后一方的批准日期为本合同的生效日期。双方应尽最大努力争取在90天内获得合同的批准，然后用电传通知对方，并用信件确认。

　　10?2本合同自签字之日起6个月内如仍不能生效，双方均有权取消合同，一旦本合同被取消，接受方应将第5?2条中规定的专利资料退还给许可方。

　　10?3本合同的有效期从合同生效日算起共年，有效期满后本合同自动失效。

　　10?4本合同失效后，如果合同中涉及的专利仍然有效时，接受方不得继续使用此专利，如需继续使用，则应与许可方续签合同;本合同失效后，如果合同中涉及的专利也随之失效时，接受方可以继续使用此专利而不需要向许可方支付任何费用。

　　10?5本合同执行中，对其条款的任何变更、修改和增减，都须经双方协商同意并签署书面文件，作为合同的组成部分，与合同具有同等效力。Section 10Effectiveness of the Contract and Miscellaneous

　　10?1The Contract is signed by the authorised representatives of both parties on in ? Immediately after signing the Contract, both parties shall apply to the competent authorities of their respective Government for ratification of the Contract, the date of ratification of the competent authorities of both parties' Government, whichever comes later, shall be taken as the date of coming into force of the Contract? Both parties shall try their utmost to obtain the ratification within 90 (ninety) days after signing the Contract, upon obtaining the ratification from the competent authority of his Government, one party shall inform the other party by telex or cable within the shortest possible time and send to the other party a letter confirming the date of ratification?

　　10?2If the Contract has not come into force within 6 (six) months after signing the Contract, both parties shall have the right to cancel the Contract? The Patent Documents stipulated in Section 5?2 of the Contract shall be returned by Licensee to Licensor once the Contract has been canceled?

　　10?3The contract shall be valid for a period of years form the date of coming into force of the Contract? The contract shall become null and void automatically after the expiration of the said period?

　　10?4After the Contract has expired, if the Patent concerned in the Contract is still valid, Licensee shall not continue to use the Patent? If Licensee demands to use the Patent continuously, the Contract shall be renewed between both parties; if the Patent concerned in the Contract loses effectiveness, Licensee may continue to use the Patent without paying any charge to Licensor?

　　10?5In the course of implementation of the Contract, all the alterations, amendments, supplements and subtractions to the Contract shall be agreed upon and signed in written documents through consultation by both parties? They are integral parts of the Contract and have the same legal force and effect as that of the Contract?10?6本合同期满后，双方的未了债权和债务不受合同期满的影响，债务人应对债权人继续完成未了债务。

　　10?7本合同由第一条至第十条和附件一至附件四组成，合同的正文和附件是不可分割的部分，具有同等法律效力。

　　接受方授权代表：(签字)许可方授权代表：(签字)10?6After the date of the expiry of the validity period of the Contract, all those creditor's rights and debts which have not been fulfilled by either of the Parties shall still be fulfilled by the respective parties without any influence from the expiry of validity period of the Contract?

　　10?7The Contract consists of Section 1 to Section 10 and Appendix 1 to Appendix 4? The text of the Contract and annexes are integral parts of the Contract and have same legal force and effect?

　　10?8The Contract is made out in English in four originals, two for each party? Within the validity period of the Contract, the communication between both parties shall be made in English; the formal notice shall be made in written form in two copies, and sent by registered air mail?
